1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SRC Software ("Company," "we," "our," or "us") governing your access to and use of our billing and inventory management software, website, mobile applications, and related services (collectively, the "Service").

By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Service.

If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Eligibility

To use the Service, you must meet the following eligibility requirements:

You must be at least 18 years of age or the legal age of majority in your jurisdiction.
You must have the legal capacity to enter into a binding contract.
You must not be barred from using the Service under applicable laws.
If registering on behalf of a business, you must be an authorized representative of that business.
You must provide accurate, complete, and current registration information.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account by providing accurate information including your full name, email address, phone number, and business details. You agree to maintain and promptly update your account information to keep it accurate and complete.

3.2 Account Security

You are solely responsible for:

Maintaining the confidentiality of your login credentials (username and password).
All activities that occur under your account, whether authorized or unauthorized.
Notifying us immediately of any unauthorized access or security breach at security@srcsys.co.in.
Logging out of your account after each session when using shared devices.

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. Subscription, Pricing, and Payments

4.1 Plans and Pricing

We offer multiple subscription plans with different features and pricing. Current plan details and pricing are available on our Pricing page. We reserve the right to modify pricing with 30 days' notice. Price changes will not affect your current billing cycle.

4.2 Free Trial

New users may be eligible for a 14-day free trial. No credit card is required for the trial. At the end of the trial period, you must choose a paid plan to continue using the Service. We will notify you before your trial expires.

4.3 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis as per your selected plan.
Payments are processed securely through Razorpay, Stripe, or direct bank transfer.
You agree to provide valid payment information and authorize us to charge the applicable fees.
All fees are in Indian Rupees (INR) and are exclusive of applicable taxes (GST).
GST invoices are provided for all payments and can be downloaded from your account dashboard.

4.4 Late Payments

If payment is not received within 7 days of the due date, we may suspend or terminate your access to the Service. A late fee of 1.5% per month (18% per annum) may be applied to overdue amounts.

5. Refund and Cancellation Policy

5.1 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

Your subscription will remain active until the end of the current billing period.
No refunds are provided for the remaining period of the current billing cycle.
You will retain access to your data for 30 days after cancellation for export purposes.
After 30 days, your data will be permanently deleted from our servers.

5.2 Refunds

Refunds are provided under the following circumstances:

Service Unavailability: If the Service is unavailable for more than 48 continuous hours due to our fault.
Billing Error: If you were charged incorrectly due to a technical error on our part.
Duplicate Payment: If you were charged multiple times for the same billing period.

Refund requests must be submitted within 15 days of the charge. Approved refunds are processed within 7-10 business days.

6. Acceptable Use and User Conduct

You agree to use the Service only for lawful business purposes. You must not:

Use the Service for any illegal, fraudulent, or unauthorized purposes.
Violate any applicable laws, regulations, or third-party rights.
Upload, store, or transmit malware, viruses, or malicious code.
Attempt to gain unauthorized access to other users' accounts or our systems.
Interfere with or disrupt the Service, servers, or networks.
Reverse engineer, decompile, or extract the source code of the Service.
Resell, sublicense, or commercially exploit the Service without our written permission.
Use automated tools (bots, scrapers) to access the Service without authorization.
Upload false, misleading, or fraudulent information including fake GSTIN numbers.
Harass, abuse, or harm other users or our employees.

Violation of these terms may result in immediate account suspension or termination without refund.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its software, design, logos, trademarks, documentation, and all related content, is the exclusive property of SRC Software and is protected by copyright, trademark, and other intellectual property laws in India and internationally. You are granted a limited, non-exclusive, non-transferable license to use the Service as per these Terms.

7.2 Your Data

You retain full ownership of all business data you upload or create within the Service (product catalogs, customer lists, invoices, inventory records). You grant us a limited license to use this data solely for the purpose of providing and improving the Service to you.

7.3 Feedback

Any suggestions, feedback, or feature requests you provide become our property. We may use them without obligation or compensation to you.

8. Third-Party Services

The Service may integrate with third-party services including payment gateways (Razorpay, Stripe), SMS providers (Twilio, MSG91), cloud hosting (AWS), and email services (SendGrid). We do not control these services and are not responsible for their availability, security, or practices. Your use of third-party services is subject to their respective terms and policies.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

The Service is provided on an "as is" and "as available" basis without warranties of any kind.
We do not guarantee uninterrupted, error-free, or secure operation of the Service.
Our total liability for any claims shall not exceed the amount paid by you in the 12 months preceding the claim.
We shall not be liable for indirect, incidental, consequential, or punitive damages.
We are not responsible for data loss caused by factors beyond our control.

10. Indemnification

You agree to indemnify, defend, and hold harmless SRC Software, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

Your violation of these Terms or applicable laws.
Your use or misuse of the Service.
Your business data or content uploaded to the Service.
Any dispute between you and your customers or suppliers.

11. Termination

We reserve the right to suspend or terminate your account and access to the Service:

If you violate these Terms or applicable laws.
If payment is overdue by more than 15 days.
If your account is used for fraudulent or illegal activities.
If you abuse, harass, or threaten our employees or other users.
After 30 days' written notice for any reason.

Upon termination, your right to access the Service ceases immediately. You may export your data within 30 days. Provisions regarding intellectual property, limitation of liability, and indemnification survive termination.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Republic of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.

12.2 Arbitration

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days. If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with a single arbitrator mutually agreed upon by both parties. The arbitration shall be conducted in Mumbai, Maharashtra, in English.

13. Data Protection and Privacy

The collection and use of your personal information is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

We implement reasonable security measures to protect your data. However, you acknowledge that no method of electronic storage is 100% secure. We recommend regularly backing up your critical business data.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through:

Email notification to your registered email address at least 15 days before changes take effect.
In-app notification displayed upon login.
Updated "Last updated" date at the top of this page.

Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms. If you disagree with the changes, you must stop using the Service.

15. Miscellaneous Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Service Level Agreement (SLA), constitute the entire agreement between you and SRC Software regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, acts of war, terrorism, riots, government orders, internet outages, or pandemics.

15.6 Relationship

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and SRC Software.
